Terms of Service

1. Acceptance of Terms

By using Narraya ("the Service"), you agree to be bound by these Terms of Service. If you do not accept these terms, you may not access or use the Service.

The Narraya platform is provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of availability, accuracy, continuity of service or fitness for a particular purpose, to the maximum extent permitted by applicable law.

• Be at least 18 years of age
• Provide accurate information and keep it up to date
• Use the Platform in compliance with these Terms and applicable law
• Not create multiple accounts for the same person

5. Account and Security

• You are responsible for the confidentiality and security of your login credentials.
• Credentials must not be shared with third parties.
• You are responsible for all activities conducted through your account.
• You must immediately notify us of any unauthorized access to your account.
• We reserve the right to suspend or delete accounts that violate these Terms, with prior notice when reasonably possible.

6. Description of the Service

Narraya is a SaaS platform for writers that offers:

• An advanced writing editor based on TipTap/ProseMirror
• AI analysis tools for style, structure, narrative voice and grammar
• Organization of books, chapters, characters and settings
• Export features (PDF, DOCX, ePub)
• Optional import from Google Drive and Dropbox
• Real-time grammar checking (self-hosted LanguageTool) — Beta

The Service is accessible via web browser at narraya.art.

7. Plans, Credits and Payments

• Narraya offers the following plans: Free (no credit card required), Starter, Pro and Studio (paid, with monthly or annual subscription).
• Payments are processed exclusively by Stripe. Narraya does not store or have access to credit card data.
• AI features can be used via credits. Purchased credits are consumable and, once made available on the account, are non-refundable and non-convertible to cash.
• Paid plans renew automatically until cancelled. Cancellation prevents the next renewal.
• In case of downgrade, the change takes effect at the end of the current billing cycle.

8. Right of Withdrawal (EU Consumers)

If you are a consumer resident in the European Union, you may withdraw from the contract within 14 days of conclusion, pursuant to Articles 52 et seq. of the Italian Consumer Code (Legislative Decree 206/2005) and Directive 2011/83/EU, subject to the exceptions provided by law.

To exercise the right of withdrawal (if applicable): send a communication to [email protected] indicating your name, registered email and purchase date. The request must be received within 14 days.

The right of withdrawal does NOT apply when:

• You requested immediate performance of the digital service and expressly accepted the loss of the right of withdrawal
• Credits have been made available and/or any use of AI Services has been made
• The digital content/service has been fully provided with your express consent

If withdrawal applies, the refund will be made using the same payment method within the legal timeframe, net of amounts for services already performed.

The right of withdrawal applies only to consumers (natural persons acting for purposes unrelated to their business or professional activity). It does not apply to business users or professionals.

9. User Content

You own all texts, chapters and content you create or upload on Narraya. You grant Narraya a limited, non-exclusive, non-transferable and revocable license to process your content solely for the purpose of providing the Service.

It is prohibited to upload content that violates applicable laws, third-party rights, or that contains offensive, illegal, discriminatory or fraudulent material.

Upon account deletion, your content will be removed within 30 days, unless legal obligations require longer retention.

10. AI-Generated Content

The User acknowledges and accepts that:

• AI models may generate errors, inaccurate, incomplete or inappropriate information
• AI-generated content does not constitute professional advice (editorial, legal or otherwise)
• The User is solely responsible for the use, verification and validation of AI results
• Narraya does not guarantee the accuracy, completeness or suitability of AI-generated content for any specific purpose

Narraya integrates third-party AI services (Ollama Cloud, Google Gemini) and grammar checking services (self-hosted LanguageTool). Narraya is not responsible for incorrect or misleading content generated by such systems, to the extent permitted by law.

11. Acceptable Use

The following are expressly prohibited:

• Using the Service for illegal, fraudulent or abusive activities
• Attempting to access unauthorized areas of the Service or systems
• Reverse engineering, decompilation or automated scraping
• Overloading systems with excessive requests (DDoS, API spam)
• Using AI to generate content that violates third-party rights or the law
• Circumventing limits, credits or platform security controls

Narraya may immediately suspend accounts in violation.

12. Intellectual Property

The Narraya trademark, design, source code, icons, platform text and all content (except User Content) are the exclusive property of Narraya di Marco Ranica and protected by applicable copyright laws.

Nothing in these Terms transfers any intellectual property rights in the Platform to the User.

13. Service Availability

We strive to keep the Service available and functional. However, we do not guarantee specific uptime. The Service may be temporarily unavailable due to:

• Scheduled maintenance (communicated with reasonable notice)
• Force majeure events
• Third-party provider outages (Stripe, Firebase, AI services)

We are not liable for damages arising from temporary Service interruptions.

14. Limitation of Liability

To the maximum extent permitted by applicable law and except in cases of willful misconduct or gross negligence, Narraya shall not be liable for:

• Indirect, incidental or consequential damages
• Lost profits, data loss or loss of opportunity
• Malfunctions caused by third parties (Stripe, Firebase, AI services)
• Inaccurate, incomplete or inappropriate AI-generated content

Except for mandatory consumer rights, Narraya's maximum aggregate liability shall not exceed the total amount paid by the User in the 12 months preceding the event giving rise to liability.

15. Indemnification

The User agrees to indemnify and hold harmless Narraya di Marco Ranica, its collaborators and partners from any claim, damage, loss, liability, cost or expense (including legal fees) arising from:

• Improper use of the Platform
• Violation of these Terms
• User-uploaded content that infringes third-party rights
• Violation of applicable laws

16. Cancellation and Termination

• You may cancel your account at any time from your profile settings.
• We reserve the right to suspend or terminate accounts that violate these Terms, with prior notice when reasonably possible.
• Upon cancellation, your data will be deleted within 30 days, unless required by law. For details, see our Privacy Policy.

17. Applicable Law and Jurisdiction

These Terms are governed by Italian law.

For any dispute, the Court of Bergamo (Italy) shall have jurisdiction, unless mandatory consumer protection provisions require the jurisdiction of the court of the consumer's place of residence or domicile.

18. Privacy Policy and Cookie Policy

Use of the Platform implies acknowledgment of our Privacy Policy and our Cookie Policy, which form an integral part of these Terms.

19. Changes to Terms

We reserve the right to modify these Terms. Substantial changes will be communicated to registered users by email with at least 30 days' notice. Continued use of the Service after that period implies acceptance of the new terms.
